BookJonas is owned and operated by Tundra AI Labs, Inc., a Delaware corporation. All references to "BookJonas" or "the Services" in these Terms refer to the AI-powered bookkeeping platform and related services provided by Tundra AI Labs, Inc.

1. Acceptance of Terms

By accessing or using BookJonas or any related services, including our website, platform, or tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree, do not use our Services.

You must be at least 18 years old to use BookJonas. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Geographic Availability. BookJonas is intended for use by individuals and businesses located in the United States. The Services support U.S. currency (USD) only and are designed for U.S. financial and tax conventions. If you are located outside the United States, including in the European Economic Area, United Kingdom, or Switzerland, you should not use the Services. We do not intentionally collect or process data from individuals located outside the United States and make no representations regarding compliance with non-U.S. data protection laws, including the EU General Data Protection Regulation (GDPR).

2. What We Do

BookJonas is an AI-powered bookkeeping automation tool designed to help small business owners and freelancers organize financial information by processing uploaded bank statements and connected account data, and generating basic cash-basis ledgers and profit-and-loss statements.

We provide automated software tools only. BookJonas is not a substitute for professional bookkeeping, accounting, tax preparation, financial advisory, or legal services. We do not provide human bookkeeping, accounting, tax preparation, or legal services of any kind.

Beta Services. BookJonas is currently offered as a beta service. The Services are under active development and may contain bugs, errors, or incomplete features. Features may be added, modified, or removed at any time without notice. By using the Services during the beta period, you acknowledge and accept the heightened risk of inaccuracies, service interruptions, and data loss inherent in pre-release software. We strongly recommend that you maintain independent copies of all financial records and do not rely on BookJonas as your sole source of bookkeeping data during the beta period.

3. AI Limitations and Important Disclaimers

BookJonas uses artificial intelligence and machine learning systems that may produce inaccurate, incomplete, or misleading results. AI is probabilistic in nature and may generate unexpected or incorrect outputs. All outputs are generated algorithmically and require manual review.

Specifically:

  • BookJonas does not provide financial, tax, legal, or investment advice.
  • BookJonas does not file taxes, prepare tax returns, or make regulatory filings on your behalf.
  • BookJonas does not guarantee the accuracy, reliability, completeness, or timeliness of any output, including ledger entries, transaction categorizations, or profit-and-loss statements.
  • Transaction categorizations, amounts, and other extracted data may contain errors, omissions, or misclassifications.
  • AI-generated outputs should never be treated as a substitute for the judgment of a qualified accountant, bookkeeper, tax professional, or attorney.

You are solely responsible for reviewing, verifying, and confirming the accuracy of all outputs before making any financial, tax, legal, or business decisions. You should always consult a qualified professional before acting on any information generated by the Services.

By using our Services, you acknowledge and accept that: (a) you understand these limitations; (b) reliance on AI-generated outputs without independent verification is entirely at your own risk; and (c) Tundra AI Labs bears no responsibility for any consequences arising from your use of or reliance on AI-generated outputs.

4. User Responsibilities

You agree to:

  • Upload only financial data you own or have legal authorization to use.
  • Provide accurate, complete, and current information when using the Services.
  • Review and verify all AI-generated outputs before relying on them for any purpose.
  • Keep your login credentials secure and confidential.
  • Comply with all applicable laws and regulations in your use of the Services.
  • Not use the Services for illegal, fraudulent, harmful, or abusive purposes.

5. Prohibited Uses

You may not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
  • Copy, modify, or create derivative works based on the Services or any part thereof.
  • Use the Services to build a competitive product or service.
  • Interfere with or disrupt the Services or servers or networks connected to the Services.
  • Upload viruses, malicious code, or harmful content.
  • Attempt to gain unauthorized access to any portion of the Services.
  • Use the Services to process data subject to specific regulatory requirements (such as HIPAA-protected health information or PCI-regulated payment card data) unless explicitly supported and documented.
  • Use the Services in any manner that violates applicable law or these Terms.

6. Third-Party Services and Integrations

BookJonas integrates with third-party services to provide its functionality. These integrations currently include, but are not limited to:

  • Plaid for secure bank and financial account connectivity. Plaid is an industry-standard financial data aggregation service. When you connect a financial account through Plaid, your data is transmitted directly between your financial institution and Plaid, and then to BookJonas. Your use of Plaid is governed by the Plaid End User Privacy Policy.
  • Stripe for payment processing. Your use of Stripe is governed by the Stripe Services Agreement.
  • Machine learning APIs (such as Google Vertex AI) for data extraction, categorization, and report generation.

Your use of third-party services is subject to their respective terms of service and privacy policies. Tundra AI Labs is not responsible for any issues, inaccuracies, data loss, service interruptions, or damages arising from third-party integrations, including errors in data transmitted by financial institutions through Plaid.

7. Data Usage

We do not use your data to train, fine-tune, or improve artificial intelligence or machine learning models. Your data, including uploaded documents, connected financial account data, and AI-generated outputs, is processed solely to provide the Services to you. If this practice changes in the future, we will update these Terms and our Privacy Policy and provide advance notice before any such change takes effect.

8. Privacy and Data Security

We take data security seriously. Your data is:

  • Encrypted in transit and at rest.
  • Stored using industry-standard cloud infrastructure with strict access controls.
  • Subject to audit logging and regular vulnerability monitoring.
  • Accessible only to authorized personnel on a need-to-know basis.
  • Never sold to third parties.

No system is 100% secure. While we implement extensive precautions, you acknowledge that you provide data at your own risk. You should always retain your own copies of important financial records.

9. Intellectual Property

All content, branding, designs, algorithms, models, and software related to BookJonas are the property of Tundra AI Labs, Inc. or its licensors. You may not copy, modify, reverse-engineer, or distribute our materials without our prior written consent.

You retain ownership of the data you upload to BookJonas. By uploading data, you grant Tundra AI Labs a limited, non-exclusive license to process your data solely for the purpose of providing the Services.

10. No Warranties

The Services are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including but not limited to:

  • Merchantability.
  • Fitness for a particular purpose.
  • Non-infringement.
  • Accuracy, reliability, completeness, or timeliness of outputs.

We do not warrant that the Services will be error-free, uninterrupted, secure, or that any outputs will be accurate or complete. We do not warrant that the Services will meet your specific requirements or that defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Tundra AI Labs, Inc., its officers, directors, employees, agents, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind.
  • Loss of profits, revenue, data, business opportunities, or goodwill.
  • Any decisions made or actions taken based on outputs from BookJonas, including but not limited to financial decisions, tax filings, business planning, or regulatory compliance.
  • Errors or inaccuracies in AI-generated transaction categorizations, ledger entries, or financial reports.
  • Errors, inaccuracies, or interruptions in data provided by third-party integrations, including Plaid and financial institutions.
  • Service interruptions, outages, or data loss.
  • Unauthorized access to or alteration of your data.

Our total aggregate liability under these Terms shall not exceed the total amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid us anything, our maximum liability is $100 USD.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tundra AI Labs, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your violation of any rights of a third party.
  • Any financial, tax, legal, or business decisions you make based on outputs from BookJonas.
  • Any data you upload to or process through the Services.

13. Termination

We may suspend or terminate your access to the Services at any time, for any reason, including but not limited to:

  • Violation of these Terms.
  • Suspicious or potentially harmful activity.
  • Misuse of the platform.
  • Extended inactivity.

Upon termination, we will delete or anonymize your data within a commercially reasonable timeframe, unless we are required by law to retain it. You may request deletion of your data at any time by contacting support@tundraailabs.com.

14. Dispute Resolution and Arbitration

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through binding arbitration in Delaware, USA, administered by the American Arbitration Association under its Commercial Arbitration Rules.

You waive any right to participate in a class action, class arbitration, or jury trial. Each party may bring claims only in its individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator's decision shall be final and binding.

Each party shall bear its own attorneys' fees and costs unless the arbitrator determines otherwise.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, USA, and you consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We may update these Terms at any time. If changes are material, we will post the updated Terms with a new effective date and may notify you via email. Continued use of the Services after changes constitutes your acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tundra AI Labs, Inc. regarding your use of the Services and supersede all prior agreements, understandings, and communications.
